地域医療活性化ヘルスケアファンド(1号)、初のEXITを創業家によるMBOで 実現
― 「伴走型PMI」により企業価値を向上し、ロングライフホールディングを創業家へ承継 ―
日本PMIパートナーズ株式会社(本社:東京都新宿区、代表取締役社長:濵田 仁、以下「NPMI」)は、NPMIが無限責任組合員として運営する「地域医療活性化ヘルスケアファンド投資事業有限責任組合」(以下「NPMIファンド」)が保有するロングライフホールディング株式会社(以下「ロングライフグループ」)の全株式について、ロングライフホールディング創業家が設立した特別目的会社に譲渡いたしましたので、お知らせいたします。本件は、2021年に組成したNPMIファンドにとって初めてのEXIT案件となります。
本件は、上場企業の非公開化、経営陣・従業員の皆様との二人三脚での企業価値向上を経て、最終的に創業家によるMBO(経営陣による買収)型・事業承継型のEXITとなりました。
■ 経緯
ロングライフグループは、1986年の設立以来、40年以上にわたって関西圏・首都圏を中心に在宅介護事業(訪問介護、居宅介護支援、通所介護、訪問入浴介護、小規模多機能型居宅介護、等)・富裕層向け有料老人ホーム事業等を展開しております。同社は介護専任事業者として国内で初めて上場した歴史(旧東証スタンダード上場・証券コード4355)、独自のサービス概念であるGFC(Good Feeling Coordinate)に基づく高品質なケアサービスの提供を通じて積み上げた高いブランドを有し、地域社会に対して持続的な医療・介護インフラを提供しています。NPMIは、2023年8月の同社に対する公開買付け(TOB)におけるスポンサーとして参画いたしました。
■ 保有期間中の取り組み ― 「伴走型PMI」
保有期間中は経営陣・従業員の皆様にNPMIから出向した現地常駐メンバーが伴走する形での経営支援に取り組んでまいりました。具体的には、中核事業である在宅介護・富裕層向け有料老人ホーム事業への経営資源の集中、集客・採用・管理体制の強化、介護報酬加算の取得・運営力強化、AI活用推進・デジタル化(内製でのシステム開発含む)、財務体質の改善等の支援を通じて企業価値向上を実現してまいりました。

ロングライフグループは、同社の歴史と地域を最もよく知る創業家のもとで、これまで培われてきた高品質なサービスとそれを支える経営陣及びすべての従業員の皆様の力が引き続き発揮され、高齢化を背景に在宅介護等の需要は引き続き拡大が見込まれるなか、同社が地域の医療・介護インフラの担い手として堅実に事業を続けていくものと考えております。

Regional Healthcare Revitalization Fund I Achieves Its First Exit
through a Founding-Family MBO
— Enhancing corporate value through hands-on PMI and returning Long Life Holding to its founding family —
Nihon PMI Partners Co., Ltd. (headquartered in Shinjuku-ku, Tokyo; President & CEO: Satoshi Hamada; hereinafter “NPMI”) announces that the Regional Healthcare Revitalization Fund Investment Limited Partnership (hereinafter the “NPMI Fund”), which NPMI operates as general partner, has transferred all of its shares in Long Life Holding Co., Ltd. (hereinafter the “Long Life Group”) to a special purpose company established by the founding family of Long Life Holding. This is the first exit for the NPMI Fund, which was formed in 2021.
The transaction took the listed company private and enhanced corporate value in close partnership with management and employees, ultimately taking the form of a founding-family MBO(management buyout) and business-succession exit.
Background
Founded in 1986, the Long Life Group has spent 40 years developing its home-based care business—including home-visit care, care management, adult day care, home-visit bathing, and small-scale multifunctional in-home care—as well as premium private senior residences and other businesses, primarily in the Kansai and Greater Tokyo areas. The company was the first dedicated nursing-care provider in Japan to go public (it was formerly listed on the TSE StandardMarket under securities code 4355), and it has built a strong brand through high-quality care based on its proprietary service concept, GFC (Good Feeling Coordinate), providing sustainable medical and nursing-care infrastructure to local communities. NPMI participated as the sponsor of the company’s tender offer in August 2023.
Initiatives during the holding period — hands-on PMI
During the holding period, on-site resident members seconded from NPMI provided management support by working alongside management and employees. Specifically, NPMI enhanced corporate value through support that included concentrating management resources on the core home-based nursing-care and affluent-focused fee-based nursing-home businesses; strengthening customer acquisition, recruitment, and administrative systems; obtaining nursing‐care fee add-ons and strengthening operational capabilities; promoting the use of AI and digit-alization (including in-house system development); and improving the company’s financial str-ucture.

We believe that under the founding family, who know the company’s history and community best, the Long Life Group will continue to build on the high-quality services it has cultivated, supported by the capabilities of its management team and all of its employees. With demand for home-based nursing care and related services expected to keep growing amid Japan’s aging population, we are confident that the company will continue to operate steadily as a key provider of regional medical and nursing-care infrastructure.
