株式会社アリスタゴラ・アドバイザーズが組成するバリューアップ・ファンド投資事業有限責任組合 （以下「バリュー・アップファンド」といいます。）は、第1号投資案件として、葬儀・霊園事業を展開する株式会社ニチリョク（コード番号7578）（以下「ニチリョク」といいます。）が発行する第三者割当新株式、新株予約権、及び自己株式を引受けることによってニチリョクへの投資を実施し、同時にニチリョクと資本提携契約を締結したことをお知らせいたします。

本投資の内容は、ニチリョクが発行する第三者割当新株式、新株予約権、及び自己株式分を以下の要領で引き受けます。

本ファンドは、東京証券取引所に上場会社を対象に潜在的な成長力を持ちながら具現化出来ていない企業へ投資を実行し再生・成長を促し、企業価値を向上させ投資家の利益に結びつけることを目的としています。

Value-Up Fund Investment Limited Partnership Invests in Nichiryoku Co., Ltd.,
ts First Investment Project

We are pleased to announce that the Value Up Fund Investment Limited Partnership (the "Value Up Fund") formed by Aristagora Advisors Co., Ltd. invested in Nichiryoku Co., Ltd. (Code No. 7578) (the " Nichiryoku "), its first investment project. Nichiryoku’s business includes the development of cemeteries and funeral business. Aristagora Advisors Co., Ltd. underwrote new shares issued through third-party allotment, stock acquisition rights, and treasury stock issued by Nichiryoku. At the same time, the Value Up Fund has signed a capital alliance agreement with Nichiryoku.

The investment project undertook new shares issued through third-party allotment, stock acquisition rights, and treasury stock issued by Nichiryoku as follows.

●Characteristics of the Value Up Fund

The Fund will target companies listed on the Tokyo Stock Exchange that are yet to realise their growth potential. The Fund will revitalize the businesses and promote their growth, enhancing corporate value and benefitting investors.
 

Specifically, the Fund targets companies with a small market capitalization that are not targeted by private equity funds and aims to enhance corporate value through a hands-on approach with a medium- tolong-term perspective.

Through investment in target companies the Value Up Fund hopes to improve the companies’ financial situation and reshape their management strategy for business growth.
